To strengthen our Fund Management team in Luxembourg, we are looking for a: Corporate Officer (m/f/d) – German & English required Your role As a Corporate Officer, you will support the day-to-day corporate governance and administration of a broad portfolio of Luxembourg entities. You will work closely with internal colleagues as well as banks, notaries, auditors, lawyers and other external service providers. Your main responsibilities will include: • Corporate governance and company administration: drafting board and shareholder resolutions, minutes and proxies, supporting the approval of annual accounts and maintaining accurate corporate records, company information, shareholder registers and structure charts. • Company lifecycle management: supporting incorporations, company name changes and other corporate changes, including the preparation and registration of statutory and non-statutory changes with the RCS and RBE. • Banking, AML and KYC matters: supporting the opening and transfer of bank accounts, responding to bank and KYC requests and coordinating FATCA/CRS documentation and other bank-related corporate requirements. • Corporate agreements and documentation: preparing standard corporate and intercompany documentation and coordinating the collection of shareholder loan agreements, service agreements, sublease agreements and other required documents. • Transaction and closing support: preparing and coordinating corporate documentation for transactions and closings, reviewing corporate documentation in data rooms and ensuring that all required corporate documents are complete and up to date. • Document execution and external coordination: collecting signatures and coordinating translations, notarisation, legalisation and apostilles, as well as liaising with couriers and external service providers. • Corporate information and filing: maintaining the group company list and corporate structure charts and ensuring the complete and accurate electronic and, where required, physical filing of corporate and transaction documents. Your profile • Full professional proficiency in both German and English (C1 level or equivalent), written and spoken, is an essential requirement for this position. Both languages are used on a daily basis and candidates must be able to work confidently and independently in each. Applications not meeting both language requirements cannot be considered. • A minimum of three years of relevant professional experience in corporate governance or company administration, ideally gained in a corporate services environment, at a Luxembourg notary or law firm, in the domiciliation sector or within an international group. • Good knowledge of the Luxembourg corporate environment, including familiarity with RCS and RBE filings, corporate documentation and KYC processes. A legal or business-related educational background is preferred. • Strong proficiency in MS Office, particularly Word, Excel and Outlook. • Excellent organisational skills and the ability to manage multiple tasks and priorities in a dynamic environment, combined with a proactive, structured and hands-on approach and strong attention to detail. • The ability to work independently while being a collaborative and reliable team player, with strong communication skills and confidence in dealing with colleagues and external stakeholders in an international environment. • A high level of discretion and confidentiality.
